The service "twsc.nl" is offered to you via the Internet by the company CycleSoftware B.V. on behalf of retailer (Store). The use of twsc.nl is subject to the following conditions. By using twsc.nl, you agree to these.
Deviations from or additions to these general terms and conditions are only binding if accepted by CycleSoftware B.V. in writing.

Article 10. Use of the service
10.1. On twsc.nl you are granted access to online services of a retailer (Store).
10.2. To use certain services of twsc.nl, you must first register using accounts that you create with third-party products and services, such as Facebook, Google, Strava, Microsoft (collectively "Third-Party Accounts"). After your registration is completed, you can link the Third-Party Account with data from Store.
10.3. Your personal data will be processed with twsc.nl. You consent to all forms of processing that are within the scope of the service. Please refer to CycleSoftware B.V. privacy statement for more information.

Article 11. Conditions of use
11.1. It is forbidden to use twsc.nl for actions that are in violation of Dutch or other applicable laws and regulations. This includes storing or distributing information via the service that is libelous, defamatory or racist.
11.2. If CycleSoftware B.V. determines that you are in breach of the above terms and conditions, or receives a complaint about it, CycleSoftware B.V. may itself intervene to end the breach.
11.3. If, in the opinion of CycleSoftware B.V., hindrance, damage or any other danger arises to the functioning of the computer systems or the network of CycleSoftware B.V. or third parties and/or of the service provision via the Internet, in particular due to excessive sending of e-mail or other data, leaks of personal data or activities of viruses, Trojans and similar software, CycleSoftware B.V. is entitled to take all measures it reasonably considers necessary to avert or prevent such danger.
11.4. CycleSoftware B.V. is at all times entitled to report detected criminal offences.
11.5 CycleSoftware B.V. may recover from you any damages resulting from violations of these rules of conduct. You hereby release CycleSoftware B.V. from all claims by third parties in connection with information posted by you.

Article 12. Availability and maintenance
12.1 CycleSoftware B.V. does not make any statement about availability of the service.,
12.2 CycleSoftware B.V. shall actively maintain twsc.nl. Maintenance may take place at any time, even if this may lead to a limitation of availability. Maintenance will be announced in advance if possible.
12.3 CycleSoftware B.V. may modify the functionality of twsc.nl from time to time. In doing so, your feedback and suggestions are welcome, but ultimately CycleSoftware B.V. itself decides which adjustments it will make or not.

Article 13. Intellectual Property
13.1. The twsc.nl service, the associated software as well as all information and images on the website are part of the intellectual property of CycleSoftware B.V.. These may not be copied or used in any way without separate written permission from CycleSoftware B.V., except in the cases in which it is permitted by law.
13.2. Information that you publish or store through the Service is and remains your property (or that of your suppliers). CycleSoftware B.V. has a limited right to use this information for the Service.
13.3. You may revoke this right of use by deleting the relevant data and/or by terminating the agreement.
13.4. You may modify or delete data that you publish or store through the service as you see fit.
13.5. If you send information to CycleSoftware B.V., for example feedback about an error or a suggestion for improvement, you grant it an unlimited and perpetual right to use this information for the service. This does not apply to information that you expressly mark as confidential.
13.6. CycleSoftware B.V. will not obtain knowledge of private data that you store and/or share through twsc.nl, unless this is necessary for a good service or CycleSoftware B.V. is obliged to do so under a legal provision or court order. In that case, CycleSoftware B.V. will make every effort to limit knowledge of the data as much as possible, as far as this is within its power.

Article 14. Payments & remuneration for the service
14.1. twsc.nl is offered to you entirely free of charge; the services, products and service provided by Store may be subject to certain charges.
14.2. Since the service is provided directly, and at your express request, it is not possible to cancel a payment by invoking the Dutch Distance Selling Act.
14.3. Payments via twsc.nl and betalen.twsc.nl are processed by a Payment Service Provider on behalf of Store.
14.4 CycleSoftware B.V. is solely responsible for providing a pay.twsc.nl payment service from Store.
14.5. For any damages resulting from an error in the execution of payment, CycleSoftware B.V. shall not be liable.

Article 15. Liability
15.1. Except in cases of intent or gross negligence, CycleSoftware B.V. does not accept any liability for the use of the Service.
15.2 CycleSoftware B.V. shall expressly not be liable for indirect damages, consequential damages, lost profits, missed savings and damages due to business interruption.
15.3. The condition for the creation of any right to compensation is that you report the damage in writing to CycleSoftware B.V. at the latest within two months after discovery.
15.4. In case of force majeure CycleSoftware B.V. shall never be obliged to compensate you for any damage caused thereby. Force majeure includes, but is not limited to, malfunctions or breakdowns of the internet, telecommunication infrastructure, power failures, internal riots, mobilisation, war, traffic jams, strikes, lockouts, operational disturbances, supply interruptions, fire and flooding.

Article 16. Duration and termination
16.1 This Agreement shall commence upon your first use of the service and shall continue for an indefinite period.
16.2. If you enter into the agreement as a consumer, you may cancel the agreement at any time with a notice period of one month, calculated from the time of cancellation. Business customers can always terminate with a notice period of two months.
16.3 CycleSoftware B.V. may terminate the agreement if you have not used the service for eighteen months. It will in that case first send a reminder e-mail to the e-mail address associated with your account.

Article 17. Changes to prices and Terms & Conditions
17.1 CycleSoftware B.V. may modify these terms and conditions as well as prices at any time.,
17.2 CycleSoftware B.V. will announce the changes or additions via the service at least 30 days before they take effect so that you can take note of them.
17.3. If you do not wish to accept a modification or addition, you can terminate the agreement until the date of its coming into effect. Use of the service after the date of coming into effect is deemed to be acceptance of the modified or added Terms & Conditions.

Article 18. Other clauses
18.1. This agreement is governed by Dutch law.
18.2. Insofar as not otherwise prescribed by the rules of mandatory law, all disputes related to twsc.nl will be submitted to the competent Dutch court for the district in which CycleSoftware B.V. registered office is located.
18.3. If a clause in these terms of use requires that a communication must be made "in writing", it shall also be deemed sufficient if the communication is made by e-mail or by communication via the service, provided it is sufficiently established that the message actually originates from the alleged sender and that the integrity of the message has not been compromised.
18.4 The version of communication or information as stored by CycleSoftware B.V. shall be deemed to be correct unless you provide evidence to the contrary.
18.5. If any clause in these terms of use proves to be invalid, this shall not affect the validity of the entire terms of use. The parties shall in that case lay down (a) new clause(s) by way of replacement, which will give shape to the intention of the original clause as much as is legally possible.
18.6. CycleSoftware B.V. is entitled to transfer its rights and obligations under the agreement to a third party who takes over twsc.nl or the relevant business activity from it.
